Thank you for the opportunity to work with you. This "Statement of Work" is entered into between you, known for the purpose of this Statement of Work as "Client," and Blu Design Shop, LLC, hereafter known as "Designer."
Based on preliminary discussions, I have identified and listed below the Needs and Solutions that we will want to address in this project(s):
The Client needs the Designer to create a website that coordinates with their current brand identity.
Furthermore, the Client needs a website that can be maintained on their own, without the need to regularly employ the Designer to make changes. The Client needs to be able to update text, photos and additional pages if necessary.
The Designer will build the Client's website using WordPress so that it is easy to navigate and provides useful and easily editable information to its’ members. WordPress also offers a Content Management System (CMS) that will allow the Client to make changes easily to the website, without requiring a dedicated workstation or additional software. Not only will the CMS save the Client website revision costs, but it will also ensure that the website stays up to date.
The Client is engaging the Designer as an independent contractor for the design of the Client's new website.
The Client hereby authorizes the Designer to register a domain name on the Client's behalf. The Client also authorizes the Designer to purchase a hosting account on the Client's behalf. The Designer will be named as the Admin on the registry account; the Client will be listed as the Registrant (owner) and will maintain ownership of the account if the Designer and the Client part ways.
If the Client already has a registered domain name and hosting account, the Client hereby authorizes the Designer to access their web hosting account with "write permission" for the Client's web page directory, cgi-bin directory, and any other directories or programs which need to be accessed for this project.
The Client also authorizes the designer to publicize the completed website to Web search engines, as well as other Web directories, indexes and to promote the Company with a link back located on a visible but unobtrusive section of the website.
Working in conjunction with the Client, the Designer will provide the Client with a preliminary design concept for the new website, utilizing their logo and brand identity. That design concept will include the basic layout, color palette, font choices, etc.
The Designer will provide a training session with a designated Client member, showing them how to use the Content Management System; unless, however, the Client chooses to have the Designer maintain the site. Additional costs will apply and a separate contract will be issued.
When the Designer has finished incorporating all the content they wish to have at launch, they will ask the Designer to move the website from the development sub-directory to the main root level of the domain, thereby making the site go live.
If the Client wishes the Designer to go forward with the project, payment terms are as follows:
Terms for all invoices are net 15 days.
If payment not received within 15 days upon receipt of the invoice, we will send you a reminder.
If payment not received within 15 days upon receipt of the reminder, a late charge of $15 will be assessed.
All deposits due before work commences (see payment schedule included with the estimate)
Any additional fees incurred beyond the scope of work outlined in the invoice are due 15 days after the completed design was delivered to the Client.
Design Terms and Conditions
Once work is complete, any elements of text, graphics, photos, contents, trademarks, or other artwork furnished to the Designer for inclusion in website are owned by the Client.
The Designer assumes the Client has permission from the rightful owner to use any images or design elements that are provided by the Client for inclusion in the website, and will hold harmless, protect, and defend the Designer from any claim or suit arising from the use of such elements.
The Designer retains the right to display graphics and other Web content elements as examples of their work in their portfolio and as content features in other projects. The Designer also retains the right to place a discreet text link at the bottom of the website page(s).
The statement of work contained in this contract constitutes the sole agreement between the Client and the Designer regarding all items included in this statement of work.
If any desired changes are to be made to this contract, please contact the Designer. Project changes can be made at any time, but additional charges may apply.
To proceed with this project, the Client is required to take the following steps:
Indicate your preferred payment schedule below.
Accept the contract by signing and submitting to the Designer.
An invoice will be generated according to the agreed upon payment terms.
Follow the Fee Schedule as outlined in the invoice.
Once these steps have been completed and your first payment received, we will begin the project.
